TERMS AND CONDITIONS INTELLO CHAT – WhatsApp Cloud API SaaS Platform Last Updated: 31/12/2025 1. Introduction INTELLO CHAT is a cloud-based Software-as-a-Service (SaaS) platform operated by INTELLO SOLUTIONS L.L.C – O.P.C, a company registered in Abu Dhabi, United Arab Emirates. INTELLO CHAT enables businesses to connect and manage their own WhatsApp Business Accounts through Meta’s official WhatsApp Cloud API infrastructure using Meta Embedded Signup. By accessing or using the INTELLO CHAT platform, you agree to these Terms and Conditions. 2. Nature of Service INTELLO CHAT operates as a technology infrastructure provider and does not act as a messaging sender or marketing agency unless explicitly agreed in a separate written agreement. The platform: Enables businesses to connect their own WhatsApp Business Accounts Provides API integrations and embedded onboarding tools Offers automation workflows and messaging management Hosts secure cloud-based infrastructure Each client retains ownership and control of their Meta Business assets. 3. Client Responsibilities Clients agree to: Comply with all applicable laws and regulations Comply fully with Meta Platform Terms and WhatsApp Business Platform Policies Obtain lawful and verifiable user consent before sending messages Avoid spam, prohibited content, or policy violations Maintain accurate information in Meta Business Manager INTELLO SOLUTIONS is not responsible for client misuse, policy violations, or account restrictions imposed by Meta. 4. Compliance with Meta & WhatsApp Policies Use of INTELLO CHAT requires full compliance with: Meta Platform Terms WhatsApp Business Platform Terms Meta Messaging and Commerce Policies Violations may result in suspension or termination of services. INTELLO reserves the right to restrict or terminate accounts that violate these policies. 5. Data Processing & Privacy INTELLO CHAT acts as a technology service provider and data processor where applicable. Clients remain the data controllers of their own customer data. Message transmission occurs through Meta’s infrastructure. INTELLO does not sell or share client data. Data is stored securely using industry-standard safeguards. For further details, please refer to our Privacy Policy. 6. Subscription & Payments Access to INTELLO CHAT is subject to subscription plans. Fees are charged based on selected plans and applicable Meta conversation fees. Clients are responsible for any Meta-imposed messaging charges. Failure to pay subscription fees may result in suspension of service. 7. Service Availability INTELLO strives to maintain high service availability. However: Platform uptime depends on Meta infrastructure and third-party systems. Scheduled maintenance may occur. INTELLO is not liable for downtime caused by Meta or external service providers. 8. Limitation of Liability INTELLO SOLUTIONS shall not be liable for: Client messaging violations Business losses due to WhatsApp account restrictions Meta-imposed suspensions or bans Third-party infrastructure failures Use of the platform is at the client’s own risk. 9. Intellectual Property All software, platform design, and intellectual property remain the exclusive property of INTELLO SOLUTIONS. Clients are granted a limited, non-exclusive, non-transferable license to use the platform. 10. Termination INTELLO may suspend or terminate services if: Meta or WhatsApp policies are violated Fraudulent or abusive activity is detected Payment obligations are not met Clients may terminate services according to subscription terms. 11. Force Majeure INTELLO shall not be liable for delays or failures resulting from events beyond reasonable control, including but not limited to infrastructure failures, regulatory changes, or force majeure events. 12. Governing Law These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the jurisdiction of the courts of Abu Dhabi. 13.
